13 <br /> <br />Note to the date of the payment in full of the purchase price <br />thereof is accepted. In accordance with the terms of the Proposal <br />the Note shall bear interest at the rate per annum as set forth <br />in paragraph 4. <br /> <br /> 3. Ail action taken to date by the officials of the City <br />with respect to the sale of the Note, including the action of <br />the City Manager of the City in negotiating the sale of the Note, <br />and the actions of the Mayor, the City Manager and other officials <br />of the City, are approved, ratified and confirmed. <br /> <br /> 4. The Note shall~be dated as of April 29, 1985; shall <br />mature on April 28, 1986; shall be numbered R-I; notwithstanding <br />the provisions of paragraph 3 of the Bond Ordinance shall be <br />issued as a single fully registered note in the denomination of <br />$9,500,000; and shall bear interest at the rate of five and eighty- <br />five hundredths per centum (5.85%) per annum from its date <br />(computed on the basis of a 360-day year of twelve 30-day months), <br />payable on October 29, 1985 and at maturity. Principal of and <br />interest on the Note shall be payable at maturity upon surrender <br />thereof at the principal office of United Virginia Bank, <br />Charlottesville, in Charlottesville, Virginia, or at the office <br />of the City Treasurer of the City of Charlottesville, Virginia, <br />by the person in whose name the Note is registered on the <br />registration records maintained therefor by said City Treasurer. <br />Both principal of and interest on the Note shall be payable in <br />such coin or currency of the United States of America as at the <br />date of payment thereof is legal tender for public and private <br />debts. The Note shall not be subject to redemption prior to its <br />stated maturity. <br /> <br /> 5. Notwithstanding the provisions of paragraph 3 of the <br />Bond Ordinance, the Note shall be in substantially the following <br />form, to wit: <br /> <br />(FORM OF NOTE) <br /> <br />UNITED STATES OF AMERICA <br />COMMONWEALTH OF VIRGINIA <br /> CITY OF CHARLOTTESVILLE <br />GENERAL IMPROVEMENT BOND <br /> ANTICIPATION NOTE <br /> <br />No. R-1 <br /> <br />$9,500,000 <br /> <br /> The City of Charlottesville, a municipal corporation of the <br />Commonwealth of Virginia (the "City"), for value received, <br />acknowledges itself indebted and hereby promises to pay to United <br />Virginia Bank, Charlottesville, or registered assigns, on April <br />28, 1986, the sum of nine million five hundred thousand dollars <br />($9,500,00-0), upon presentation and surrender hereof together <br />with interest hereon from the date hereof (computed on the basis <br />of a 360-day year of twelve 30-day months) at the rate of five <br />and eighty-five hundredths per centum (5.85%) per annum, payable <br />on October 29, 1985 and at maturity. Both principal of and <br />interest on this note are payable in such co~n or currency of <br />the United States of America as at the date of payment thereof <br />is legal tender for public and private debts, at the principal <br />office of United Virginia Bank, Charlottesville- in the City of <br />Charlottesville, Virginia, or at the office of the City Treasurer <br />of the City of Charlottesville, Virginia. <br /> <br /> This Note is transferable only upon-'the registration records <br />kept for that purpose at the office of the City Treasurer of the <br />City of Charlottesville, Virginia, by the person in whose name <br />this note is registered or by his or her attorney duly authorized <br />in writing, upon surrender hereof together with a written instrument <br />of transfer satisfactory to the City duly executed by such person <br />or such duly authorized attorney, and thereupon the City shall <br />issue in the name of the transferee a new fully registered note <br />of the same aggregate principal amount and designation, matur'ity <br />and interest rate and upon the payment of the costs of any <br />transfer taxes or other governmental charges relating thereto. <br />The City and United Virginia Bank, Charlottesville, ~n its capacity <br /> <br /> <br />
