322 <br /> <br />and for the City, under and pursuant to and in full compliance <br />with the Constitution and statutes of the Commonwealth of Virginia, <br />includin.g Chapter 5 of Title 15.1 of the Code of Virginia, 1950, <br />as amended (the same being the Public Finance Act), the Charter of <br />the C'ity, as amended, and an ordinance and proceedings of the Council <br />of the City dUly adopted and taken under such Chapter 5. <br /> It is certified, recited and declared that all acts, conditions <br />and things required to exist, happen or be performed.precedent to <br />and-in the issuance af this note do exist, have happened and have <br />been performed in due time, form and manner as required by law, and <br />that the amount of this note, together with all o.ther indebtedness <br />of the City, does'not exceed any limitation of indebtedness prescribed <br />by the Constitution or statutes of the Commonwealth of Virginia or <br />the Charter of the City. <br /> <br /> The full faith and credit of the City are irrevocably pledged <br /> to the punctual payment of the principal of and interest on this <br /> note as the same become due. <br /> <br /> IN WITNESS WHEREOF, the City has caused this note to be <br /> executed by the manual signatures of its Mayor and City Treasurer; <br /> the corporate seal of the~City to be affixed hereto, attested by the <br /> manual signature of the Clerk of Council of the City; and this~no'te <br /> to be dated as of February 1, 1984. <br /> <br />Attest: <br /> <br />(signed) <br /> <br />Mayor <br /> <br />(signed) (SEAL) (signed) <br /> <br />Clerk of Council <br /> <br />City Treasurer <br /> <br />ASSIGNMENT <br /> <br /> For value received, the undersigned herbby sells, assigns and <br />transfers unto <br /> <br />PUBLIC <br /> <br />OTHER BUSINESS <br /> <br />Yhe within note of the City of Charlottesville, Virginia, and <br />hereby irrevocably c~nstitutes and appoints <br /> attorney <br />to transfer such note on the records kept for registration thereof, <br />with full power of'substitution in the premises. <br /> <br />Dated: Signature Guarantee: <br />Witness: · <br /> <br /> 6. The Note shall, as soon as practicable, be prepared, <br />executed and delivered at the expense of the City to the Purchaser <br />in accordance with the provisions of the Bond Ordinance and this <br />resolution and upon payment of the balance of the purchase price <br />for the Note. <br /> <br /> 7. The proceeds of the Note, together with any earnings <br />derived fromm'the investment of such proceeds, shall be applied on <br />April 17, 1984 to the payment of the principal of and interest on <br />the City's $3,000,000 principal amount of General Improvement Bond <br />Anticipation Notes, dated April 21, 1982, which mature and become <br />due and payable on such date. <br /> <br /> 8. The City Attorney of the City is directed to file a copy <br />of this r.esolution, certified by the Clerk of Council of the City to <br />be a true and correct copy hereof, with the C'lerk'of the Circuit Court <br />of the City. <br /> <br /> 9. This resolution shall take effect upon its passage. <br /> <br />There were no matters by the public. <br /> <br /> Mr. Hendrix requested Council's approval to proceed with the <br />steps necessary for the purchase of the Bicentennial Center. Mr. <br />Hendrix stated that the purchase would be contingent on: 1) borrowing <br />the money locally, using the lease as collateral, 2) the purchase <br />price being agreeable, and 3) an agreement being reached.with the <br />Thomas Jefferson Memorial Foundation and Albemarle County. Mr. <br />Hendrix explained that he would ask Delegate Mitchell Van Yahres to <br />introduce the necessary bill and would bring the matter back to <br />Council for final approval before the purchase took place. <br /> Mrs. Gleason moved, Dr. Hall seconded, and Council unanimously <br /> <br />approved the request to proceed with the steps necessary for the <br /> <br />purchase of the Bicentennial Center. <br /> Mr. Hendrix explained that the County had requested that a county <br />volunteer firefighter be allowed to serve on the Management Board for <br /> <br /> <br />
