178 <br /> <br />THE CODE OF THE CITY OF CHARLOTTESVILLE, 1990, AS AMENDED, <br />RELATING TO UTILITY 1L~TES, DEPOSITS AND FEES" was offered and carried over <br />to the next meeting for consideration. <br /> <br />RESOLUTION: APPROVING OPTION FOR SALE OF CSX PROPERTY <br /> <br /> Ms. Hendrix stated that Bosworth Parks has signed an option for a portion of the CSX <br />property for $467,500. The option price would be $2,500 for the first 90 days and $15,000 <br />for the second 90 day period, with any option money paid to be credited against the purchase <br />price. A provision of the agreement regarding environmental cleanup would have the <br />Charlottesville Industrial Development Authority fund 50% of the cost over $50,000, with a <br />cap on CIDA's contribution set at $67,500. <br /> <br /> On motion by Rev. Edwards, seconded by Ms. Daugherty, the resolution approving the <br />option for sale of the CSX property was approved, with Mr. Vandever absent for the vote. <br /> <br /> WItEPdgAS, on April 11, 1995, the Charlottesville Industrial Development Authority <br />(CIDA) approved the sale of Parcel A-2-1 of the CSX property to Bosworth Parks <br />Development Corporation for development of an office building with appurtenant parking, <br />subject to certain design controls and reviews; now, therefore, <br /> <br /> BE IT RESOLVED by the Council of the City of Charlottesville, Virginia that the <br />attached Land Purchase and Development Agreement between the CIDA and Bosworth <br />Parks Development Corporation, dated January 30, 1995, is hereby approved. <br /> <br />RESOLUTION: ASSOCIATING OUTSIDE COUNSEL WITH REGARD TO FEES <br />CHARGED THE CITY BY BLUE CROSS/BLUE SHIELD (NOW TRIGON) FOR <br />ADMINISTRATION OF THE CITY'S HEALTH BENEFITS PLAN <br /> <br /> Mr. Gouldman explained that the resolution would allow outSide counsel to be hired, <br />on a contingency fee basis, to determine if a refund is due to either the City or its employees, <br />as a result of Trigon, formerly Blue Cross/Blue Shield, having retained a portion of hospital <br />and Other discounts they negotiated. <br /> <br /> On motion by Rev. Edwards, seconded by Ms. Slaughter, the resolution associating <br />outside counsel with regard to fees charged by the City by Blue Cross/Blue Shield (now <br />Trigon) for administration of the City's Health Benefits Plan was approved, with Mr. <br />Vandever absent for the vote. <br /> <br /> WHEREAS, for more than fifteen (15) years Blue Cross/Blue Shield (now and <br />hereinafter "Trigon") has administered the "self-insured" health benefits plan (the "Plan") for <br />the City of Charlottesville; and <br /> <br /> WHEREAS, Trigon through its contract with the City has received certain fixed <br />administrative fees tied directly to the number of employees in the Plan; and <br /> <br /> WHEREAS, it has now become known that Trigon, in addition to the aforesaid fixed <br />fees, has apparently retained a portion of the hospital, and, perhaps, other discounts it has <br />negotiated in the course of administering the Plan; and <br /> <br /> WHEREAS, a dispute has arisen about the amount and correct beneficiary of such <br />discOunts, which dispute needs to be resolved through investigation, discussion, and <br />negotiation between the parties; and <br /> <br /> WHEREAS, in order to allow adequate time for such investigation and discussion to <br />occur, the parties by mutual agreement need to "toll" (halt, at least temporarily, any <br />applicable statute of limitations through what has been referred to as a tolling agreement; and <br /> <br /> WHEREAS, it is advisable for the City to retain outside counsel to associate with the <br />City Attorney in bringing a fair resolution to the above described dispute; <br /> <br /> <br />
