96 <br /> <br /> 2. The Chairman of the District Home Board is hereby authorized and directed to <br />further negotiate, on behalf of the District Home Board and Jurisdictions, the Transaction <br />Document wkh such changes, additions or deletions he deems necessary or desirable so long <br />as any changes, additions or deletions do not .substantially alter the Transaction Document. <br /> <br /> 3. The City Manager is authorized and dkected to execute on behalf of the <br />Jurisdiction, and the City Clerk is authorized to attest, the Asset Purchase Agreement among <br />s-mith-Packett, the District Home Board and the Jurisdictions with such changes, additions or <br />deletions as may be recommended or approved by the Chairman of the District Home Board. <br /> 4. The District Home board is hereby authorized, without the necessity of any further <br />action by this body, to dispose of any and al! remaining assets under its supervision except for <br />real property, which shall require additional authorization by this body after a public hearing. <br /> 5. The City Manager is authorized and directed to execute a bill of sale and to take all <br /> such further actions and to execute al! such further instruments, agreements, documents, and <br /> certificates as he shall deem necessary or desirable to carry out the purposes of this <br /> Resolution. <br /> <br /> 6. All acts of the Chairman of the Board of the District Home, the board of the District <br />Home and its authorized agents, and the City Manager which are in conformity wi. '_th the <br />purposes and intent of this Resolution are hereby ratified, approved and confirmed. <br /> <br />PUBLIC <br /> <br />There were no matters by the public. <br /> <br />OTHER BUSINESS <br /> <br /> Mr. Cox and Ms. Slaughter announced that Woo.worth s will be closing downtown and <br />a closing reception wi!! be held on Wednesday. <br /> <br /> On motion by Ms. Richards, seconded by Mr. Toscano, Council made a motion to go <br />into executive session for the purpose of disCUssion personnel matters as attthorized by <br />Section 2.1-344(A)(!) of the Virginia Code, and for the purpose of considering the <br />acquisition or use of real property for public purpose, or the disposition of pub!icly held <br />property, as authorized by Section 2.1-344(A)(3) of the Virginia Code, more specifically <br />described as property south of Water Street? <br /> <br /> Council reconvened in open session and, on motion by Mr. Toscano, seconded by Ms. <br />Daugherty, certified that, to the best of each member's knowledge, (i) only public business <br />matters lawfi,dly exempted from open meeting requirements by Virginia law were discussed in <br />the executive meeting to which this certification resolution applies, and (ii) only such public <br />business matters as were identified in the motion convening the executive meeting were <br />heard, discussed or considered by the Council. <br /> <br /> The meeting was adjourned. <br />President 'ti/ <br /> <br /> <br />
