corporations or property growing out of or directly or <br />• indirectly resulting from (a) such use of the streets, <br />alleys, highways, sidewalks, rights-of-way and other public <br />places of the City, (b) the acquisition, erection, <br />installation, maintenance, repair, operation and use of any <br />poles, wires, cables, conduits, lines, manholes, facilities <br />and equipment, or (c) the exercise of any right granted by or <br />under this franchise or the failure, refusal or neglect of <br />the Company to perform any duty imposed upon or assumed by <br />the Company by or under this franchise. The Company shall <br />also maintain in force a comprehensive general liability <br />policy in form satisfactory to the City Attorney of the City <br />of Charlottesville, having a combined single limit coverage <br />of not less than one million dollars (61,000,000). The <br />• policy shall include the City of Charlottesville as an <br />additional insured party, and the Company shall provide the <br />City Attorney with a certificate of such coverage before <br />beginning installation of any lines, cable or equipment. The <br />Company shall also require similar indemnification and <br />insurance coverage from any contractor working in the public <br />right -of -ray on behalf of the Company. In the event that any <br />suit or proceeding is brought jointly against the City and <br />the Company, at law or in equity, on account thereof, the <br />Company will defend the City in any such suit or proceeding <br />at the cost of the Company, provided the City gives such <br />assistance and cooperation in the defense of any such suit or <br />• proceeding as in the opinion of counsel for the Company may <br />be necessary or desirable to a proper defense.
