• also furnish the usual closing papers, including a certificate <br />evidencing the fact that no litigation is pending or threatened <br />in any way affecting the validity of the Bonds or the right and <br />duty of the City to levy ad valorem taxes, without limitation of <br />rate or amount, for the payment of the Bonds and the interest <br />thereon. <br />The successful bidder shall deliver written <br />instructions to the Registrar at its principal corporate trust <br />office not less than five (5) business days prior to the <br />scheduled delivery of the bonds as to the manner in which the <br />Bonds shall be registered at delivery, including the name and <br />address of each registered owner, the principal amount of each <br />maturity to be registered to such registered owner, and, if a <br />single registered owner shall require more than one Bond of any <br />maturity, the number and principal amount of Bonds of such <br />maturity to be registered to such registered owner. In the <br />absence of instructions, the Bonds will be registered in the name <br />of the successful bidder in such denomination or denominations as <br />the Registrar shall determine. <br />It is anticipated that CUSIP identification numbers <br />will be imprinted on the Bonds, but neither the failure e to <br />print any such number on any Bond nor any inaccuracy, error or <br />omission with respect thereto shall constitute cause for failure <br />or refusal by the successful bidder for the Bonds to accept <br />• delivery of and pay for the Bonds in accordance with the terms of <br />its bid. No such CUSIP identification number shall constitute a <br />part of the contract evidenced by the particular Bond upon which <br />it is printed, and no liability shall attach to the City or any <br />officer or agent thereof, including any paying agent for the <br />Bonds, by reason of such numbers or any use made thereof, <br />including any use thereof made by the City, any such officer or <br />any such agent, or by reason of any inaccuracy, error or omission <br />with respect thereto or in such use. All expenses in relation to <br />the printing of such numbers on the Bonds will be paid by the <br />City; provided, however, that the CUSIP Service Bureau charge for <br />the assignment of such numbers shall be the responsibility of and <br />shall be paid by the purchaser. <br />No additional general obligation bonds of the City will <br />be offered for sale prior to , without <br />the consent of the purchasers of the Bonds. <br />Further information, including the Preliminary Official <br />Statement and Official Bid Form relating to the Bonds, will be <br />furnished upon application to the undersigned or to <br />Financial Advisor to the City for this issue, <br />Telephone (_) <br />The City will furnish the successful bidder, at the <br />• expense of the City, up to copies of the Official <br />Statement for delivery to the bidder. <br />
