SECTION 11. INSURANCE <br />• The Subtenant agrees to provide and pay for insurance covering itself, its property and <br />operations, which insurance shall be of the same type(s) and coverage(s) specified in <br />paragraph 7.3 of the Lease. <br />SECTION 12. INDEMNIFICATION <br />The Subtenant shall indemnify and save harmless the Tenant from and against any and <br />all liability, damage, expense, causes of action, suits, claims or judgments arising from injury to <br />any person(s) or property located on the Subleased Premises, or other Premises which are the <br />subject of the Lease, which arise out of the act, failure to act or negligence of the Subtenant, its <br />agents, employees or invites, provided that such indemnity shall be effective only to the extent <br />of any loss that may be sustained by the Tenant in excess of the net proceeds received by it <br />from any insurance carried with respect to such loss, and provided further that the benefits of <br />this Section shall not inure to any person(s) other than the Tenant. Nothing contained herein <br />shall require the Subtenant to indemnify the Tenant for any claim or liability resulting from the <br />Tenant's gross negligence or willful misconduct. The obligations of the parties under this <br />Section shall survive any termination of this Lease. <br />SECTION 13. NOTICES <br />Whenever under this Sublease a provision is made for notice of any kind, it shall be <br />deemed sufficient notice and service thereof if such notice is delivered to the Subtenant or the <br />Tenant at the following addresses, in person, or by certified mail, return receipt requested: <br />Tenant: C/o Director of Economic Development, P.O. Box 911, Charlottesville, Virginia, <br />22902. <br />• Subtenant: C/o Chris Wilmer, President, <br />SECTION 14. QUIET ENJOYMENT <br />The Subtenant covenants that no use shall be made, or permitted to be made, of the <br />Subleased Premises, or any part thereof, and no acts shall be done therein, which may <br />unreasonably disturb the quiet enjoyment of any other tenant in the building of which the <br />Subleased Premises are a part. In the event the Subtenant's conduct, or that of its invites, is <br />unreasonably injurious or damaging to the Tenant, to the Landlord, and/or the rights, privileges, <br />or welfare of the other occupants of the Premises, the Tenant may terminate this Sublease at <br />any time upon twenty-one (21) days' written notice to the Subtenant. <br />Ax011101kS67MV-•1-01i111111Z10 <br />Upon the expiration or earlier termination or cancellation of the tenancy created by this <br />Sublease, the Subtenant shall completely vacate the Subleased Premises, including the <br />removal of all its property. No right of storage is given by this agreement, and the Tenant shall <br />have no duty to protect the Subtenant's possessions against loss. In the event the Subtenant's <br />property is not removed the Tenant or Landlord may dispose of such property at its discretion, <br />without any liability to the Subtenant for damage or loss. The Subtenant shall pay for all costs <br />of removal of such property. Before departure, the Subtenant shall return all keys and shall <br />turn over to the Tenant and the Landlord the apartment and all its fixtures and equipment in <br />good and substantial repair, thoroughly cleaned and in sanitary condition, reasonable wear and <br />tear excepted. <br />0 Page'3 of 4 <br />
