• THIS SUBLEASE AGREEMENT, made and entered into this day of <br />12000, by and between THE CITY OF CHARLOTTESVILLE, <br />VIRGINIA, a municipal corporation, Grantor, herein referred to as "Tenant," whose address is <br />P.O. Box 911, Charlottesville, Virginia, 22902, and The Downtown Property Owners' Council, a <br />council of the Charlottesville Regional Chamber of Commerce, Grantee, herein referred to as <br />"Subtenant," whose address is P.O. Box 1564, Charlottesville, Virginia, 22902. <br />WITNESSETH: <br />WHEREAS, Tenant is in rightful possession of the premises of the office building <br />located at 108 2nd Street, S.E., Charlottesville, Virginia ("Property'), consisting of approximately <br />2,709 square feet and five (5) on-site parking spaces, under the Lease dated the I" day of <br />August, 2000, a copy of which lease is attached hereto marked as "Exhibit A," and made a part <br />of this Sublease Agreement; and, <br />WHEREAS, Tenant wishes to sublease a portion of the premises to the Subtenant on <br />the terms stated herein; <br />NOW, THEREFORE, in consideration of the premises and the mutual covenants <br />contained herein, the parties agree as follows: <br />SECTION 1. PREMISES <br />The Tenant hereby subleases to the Subtenant, and the Subtenant hereby hires and <br />• leases from the Tenant, approximately one hundred twenty-seven square feet (127 SF) of the <br />office building premises described in the Lease marked as "Exhibit A", which area of 127 SF is <br />herein referred to as the "Subleased Premises." The Tenant and the Subtenant shall, together, <br />prior to the Subtenant's occupancy of the Subleased Premises, delineate the limits of the space <br />to be occupied by the Subtenant within the office building. There shall be no parking space(s) <br />allocated to the Subtenant or the Subleased Premises. <br />SECTION 2. TERM <br />The term of this sublease shall commence on September 1, 2000 ("Commencement <br />Date") and shall expire on August 31, 2003 ("Expiration Date"). By mutual agreement of the <br />parties, set forth in writing, this Sublease may be extended beyond the original Expiration Date <br />for up to two additional periods of one year each (each, a "Renewal Term"). Notice of a <br />proposed Renewal Term, or of either party's desire for the Sublease to expire at the end of any <br />term, shall be given at least 180 calendar days prior to the date on which a current term is set <br />to expire. <br />SECTION 3. RENT <br />A. The Rent specified in paragraph 3.B., below, shall be payable in annual installments, <br />payable in full on or before the first day of September each year during the term(s) of the <br />Sublease. Notwithstanding the foregoing, with respect to the initial twelve months of the lease <br />(September 1, 2000 through August 31, 2001), the first year's rent shall be due and payable on <br />or before the date that the Subtenant takes actual possession of the Subleased Premises. <br />0 Page 1 of 4 <br />
