5. Any collection fee for funds collected at a Subscriber's <br />• residence upon Service disconnection shall not be considered a <br />late fee. <br />9.07 Parental Control Option. Grantee shall provide parental control devices to <br />all Subscribers who wish to be able to cut out any objectionable Channel(s) of <br />programming from the Cable Service entering the Subscriber's home. <br />9.08 Subscriber Complaints. Grantee shall maintain and provide annually, on <br />or before July 1, to the City a log of all subscriber Complaints indicating the <br />action taken by Grantee. <br />SECTION 10. GENERAL FINANCIAL AND INSURANCE PROVISIONS <br />10.01 Payment to City. <br />A. Grantee shall pay to the City a Franchise Fee equal to five percent <br />(5%) of its annual Gross Revenues. The foregoing payment shall be <br />compensation for use of Streets and other Public Property and for the <br />oversight and administration of this franchise. <br />B. Payments due the City under this provision shall be computed at <br />the end of each quarter year for that quarter year. Payments shall be due <br />• and payable for each quarter or a portion of a quarter year on January 15, <br />April 15, July 15 and October 15. Each payment shall be accompanied by <br />a brief report showing the basis for the computation and such other <br />relevant facts as may be reasonably required by the City, including the <br />completion of a Franchise Fee Payment Worksheet attached hereto as <br />Exhibit E (or the substantive equivalent thereof, as agreed upon by the <br />City). The brief report and Franchise Fee Payment Worksheet attached <br />hereto as Exhibit E shall be submitted to the City with information and <br />statistics for only the System serving the City of Charlottesville and shall <br />not include any statistics which reflect a larger scope of operations that <br />include the County of Albemarle or other similarly situated regions. <br />C. No acceptance of any payment shall be construed as an accord <br />that the amount paid is in fact the correct amount, nor shall such <br />acceptance of payment be construed as a release of any claim the City <br />may have for further or additional sums payable under the provisions of <br />this Franchise where the City gives the Grantee notice in writing <br />contesting any amount paid within five (5) years of the receipt of the <br />disputed payment. All amounts paid shall be subject to audit and <br />recomputation by the City. To the extent the City hires an independent <br />auditor to verify the accuracy of Grantee's Franchise Fee payments and <br />finds the payments accurate to within three percent (3%) of funds due the <br />City or in all cases in which the discrepancy favors Grantee, the City shall <br />• pay the auditor's full costs and expenses. To the extent it is reasonably <br />29 <br />
