PROCESS FOR APPROVAL OF <br />• CHARLOTTESVILLE INDUSTRIAL DEVELOPMENT AUTHORITY (CIDA) <br />SALES CONTRACTS ON CSX PROPERTY <br />A. Prospective buyer submits sales contract and supporting plans <br />for development to CIDA staff (in a format pre -approved by <br />staff) . <br />B. Review by CIDA staff and technical review by Planning staff <br />resulting in recommendations for acceptance or rejection of <br />proposed contract (including comments on whether proposed <br />project is consistent with Urban Design guidelines). <br />C. Contract approval by CIDA Board. Contract to include, among <br />other things, the provisions substantially like those shown <br />below. <br />Certain CSX Sales Contract Provisions <br />Contract Contingent Upon City Council Approval. This real <br />estate contract is contingent upon occurrence of one of the <br />following events: <br />(a) approval of the contract by City Council within forty- <br />five (45) days from the time CIDA approves the contract, <br />or <br />• (b) waiver of Council's opportunity to review the contract <br />by delivery of notice of such waiver to the purchaser and <br />the Authority at any time within said forty-five (45) day <br />period. <br />In the absence of such approval or waiver, the contract shall <br />be deemed void and of no effect and the contract Deposit <br />returned to Purchaser. The foregoing review and waiver period <br />may be made shorter or longer by written consent of Purchaser <br />and the City Manager after the City Manager has obtained <br />permission for such change from a majority of Council. <br />Approval of Building Plans. The Authority (CIDA) and City <br />Council shall have the right to review any and all working <br />drawings with respect to any improvements (including <br />landscape, site plan, exterior elevations, materials, color <br />scheme, and signage) to be erected on the Property. At least <br />30 days prior to start of construction, said plans and <br />specifications shall be submitted simultaneously to the <br />Authority and to Council for review and comment. To assist <br />the Authority and Council in conducting their respective <br />building plan reviews, the Urban Design Committee will provide <br />to each body an advisory opinion on whether those plans <br />conform to the City's Urban Design Guidelines. No construction <br />shall commence until the Authority and Council shall have <br />approved said plans and specifications, but such approval may <br />• not be unreasonably withheld. <br />Approved by City Council November 20, 1989 <br />
