title at closing, with the balance of $6,500 to be paid within 30 days after the DEQ issues the <br />• RSWA a permit to construct and operate a CDD waste disposal cell described in ¶ A. 2, above <br />and identified as Cell 5 on Exhibit 1 attached hereto, or within 24 months after entry of the Order <br />of the Court dismissing the Plaintiffs from the Action as settled pursuant to the terms of this <br />Agreement, whichever occurs first. The balance of $6,500, shall be secured by a deed of trust on <br />the property purchased by the RSWA from the Snead Plaintiffs. In the event of a default by the <br />RSWA for nonpayment of the aforesaid balance and the failure of the RSWA to cure such <br />default within thirty (30) days following receipt of the Snead Plaintiffs' notice to the RSWA of <br />such default, the Snead Plaintiffs may foreclose on the subject property, resume fee simple title <br />to it and retain the initial $10,000 payment as satisfaction in full for the obligations of the RSWA <br />in this transaction. The closing date shall be held no later than 60 days after entry of the Order of <br />the Court dismissing the Action as settled pursuant to the terms of this Agreement, it being <br />is understood that time is of the essence for the completion of this transaction. Stuart M. Snead, <br />• <br />husband of Plaintiff Barbara Snead, is not a plaintiff in this Action, but has executed this <br />Agreement and agrees that it shall obligate him to execute any documents necessary to convey <br />the property and to remove any liens or other encumbrances on the property that may be <br />necessary to consummate this property transaction. <br />The RSWA will pay the Hiter Plaintiffs $6,339 cash or cash equivalent at closing, <br />in exchange for conveyance of good and marketable fee simple title to the approximately 0.2552 <br />acres of real estate east of Broad Axe Road, free and clear of all encumbrances, tenancies, liens <br />and leases and subject only to applicable easements and restrictions of record which do not <br />adversely affect the marketability of title at closing. The closing date shall be held no later than <br />60 days after entry of the Order of the Court dismissing the Action as settled pursuant to the <br />RX <br />
