particular legal theory or as evidence of any obligation that any Party has or may have to anyone. <br />• This Agreement shall be deemed to fall within the protection afforded compromises and offers to <br />compromise under Rule 408 of the Federal Rules of Evidence and any similar state law <br />provision. Nothing contained in this paragraph, however, shall be interpreted to restrict the right <br />of any Party; (a) to bring a claim or to introduce evidence predicated on a breach of this <br />Agreement; (b) to assert a defense to any claim relating to a claimed breach of this Agreement; <br />or (c) to provide proof as to the fact (as opposed to the terms) of settlement and release provided <br />herein. <br />REPRESENTATIONS <br />The Parties expressly warrant and represent that they are either government entities, <br />individuals, public service authorities or corporations in good standing in their respective places <br />of domicile; that the execution of this Agreement is fully authorized by each of them; that the <br />• person or persons executing this Agreement has or have the necessary and appropriate authority <br />to do so; that there are no pending agreements, transactions, or negotiations to which any of them <br />are a party that would render this Agreement or any part thereof void, voidable, or <br />unenforceable. <br />COOPERATION <br />The Parties agree to execute promptly any and all motions, voluntary dismissals, <br />stipulations, supplemental agreements, releases, affidavits, waivers and other documents of any <br />nature or kind which the other party may reasonably require in order to implement the provisions <br />or objectives of this Agreement. <br />u <br />INTEGRATION <br />M. <br />
