and shall bear the entire risk of loss and damage to the Equipment from any cause whatsoever, it <br />"• being the intention of the parties that the rental payments shall be made in all events unless the <br />obligation to make rental payments is terminated as otherwise provided herein. <br />4.5 Allocation of Interest. A portion of each rental payment shall be allocated to <br />interest, with the imputed interest based on a 360 day year for the actual number of days elapsed. <br />SECTION 5. -- Intentionally left blank -- <br />SECTION 6. RESPONSIBILITIES OF LESSEE <br />6.1 Care and Use. The Lessee shall use the Equipment in a careful and proper <br />manner, in compliance with all applicable laws and regulations, and at its sole cost and expense, <br />service, repair and maintain the Equipment so as to keep the Equipment in good condition, repair, <br />appearance and working order for the purposes intended, ordinary wear and tear excepted, and <br />shall replace any part of the Equipment as may from time to time become worn out, lost, stolen, <br />destroyed or damaged or is unfit for use. Any and all additions to or replacements of the <br />Equipment and all parts thereof shall constitute accessions to the Equipment and shall be subject <br />to all the terms and conditions of this Agreement and included in the term "Equipment" as used in <br />this Agreement. If requested by the Lessor, the Lessee shall enter into or cause to be entered into, <br />and maintained in full force and effect during the term of this Agreement, standard maintenance <br />• contracts satisfactory to the Lessor covering the Equipment and shall comply with all its <br />obligations thereunder. The Lessee shall furnish evidence to the Lessor of such signed <br />maintenance agreement at or prior to the date of this Agreement and the payment of all charges <br />and premiums therefor. With Lessor's prior written consent, Lessee may undertake maintenance of <br />the Equipment by its employees in lieu of such a maintenance agreement. Substitute maintenance <br />may be used if first approved by the Lessor in writing. Upon the early termination of this <br />Agreement pursuant to Sections 14 and 15, the Lessee shall permit the Lessor to remove the <br />Equipment from the premises in the same condition as originally received, ordinary wear and tear <br />excepted, and in such a condition which will permit the Lessor to be eligible for such standard <br />maintenance contract without incurring any expense to repair or rehabilitate the Equipment. <br />• <br />6.2 Inspection. The Lessor shall have the right upon reasonable prior notice to the <br />Lessee to enter into and upon the premises where the Equipment is located to inspect the <br />Equipment and observe its use during normal business hours. <br />6.3 Utilities. The Lessee shall pay all charges for gas, water, steam, electricity, light, <br />heat or power, telephone or other utility service," if any, furnished to or used in connection with the <br />Equipment during the term of this Agreement. There shall be no abatement of rental payments on <br />account of interruption of any such services. <br />3 <br />
