<br />AND ORDINANCE ADOPTED BY THE COUNCIL ON FEBRUARY 16, 1948. THE CLERK REPORTED
<br />THAT THE ORDINANCE GRANTING A TELEPHONE FRANCHISE TO

<br />SUCCESSORS AND ASSIGNS, TO USE THE STREETS AND OTHER PUBLIC PLACES OF THE CITY
<br />OF CHARLOTTESVILLE, ALBEMARLE COUNTY, VIRGINIA, FOR ITS POLES, WIRES, CONDUITS,
<br />CABLES AND FIXTURES FOR A PERIOD OF TWENTY-FIVE (25) YEARS, AND INVITATION FOR
<br />BIDS HAD BEEN PUBLISHED ONCE A WEEK FOR FOUR SUCCESSIVE WEEKS IN THE DAILY
<br />PROGRESS, A NEWSPAPER PUBLISHED IN THIS CITY.
<br />THE PRESIDENT THEN CALLED FOR THE PRESENTATION OF SEALED BIDS, AND ONE SEALED
<br />BID WAS DELIVERED TO HIVE. NO FURTHER BIDS BEING PRESENTED, THE SAID BID WAS OPENED,

<br />TELEPHONE INVITING BIDS FOR THE TELEPHONE FRANCHISE IN CHARLOTTESVILLE, VIRGINIA,
<br />FRANCHISE PROPOSED TO BE GRANTED AS SET FORTH IN SUCH INVITATION NOTICE, COPY OF
<br />WHICH IS ATTACHED, VIRGINIA TELEPHONE Rv, TELEGRAPH COMPANY, A VIRGINIA
<br />CORPORATION, THE OWNER OF THE PRESENT TELEPHONE SYSTEM IN CHARLOTTESVILLE,
<br />VIRGINIA, ON BEHALF OF ITSELF, ITS SUCCESSORS AND ASSIGNS, HEREBY SUBMIT
<br />THE FOLLOWING BID FOR THE FRANCHISE AS PUBLISHED IN THE ABOVE MENTIONED
<br />ADVERTISEMENT AND AGREES IN CONSIDERATION OF SAID FRANCHISE AS FOLLOWS:
<br />(1) TO PAY TWO HUNDRED DOLLARS (0200.00) IN CASH IF SAID BID IS
<br />ACCEPTED. CHEEK OF VIRGINIA TELEPHONE & TELEGRAPH COMPANY, ORDERING PAY-
<br />MENT OF SUCH SUM TO THE CITY OF CHARLOTTESVILLE, IS ENCLOSED.
<br />(2) VIRGINIA TELEPHONE & TELEGRAPH COMPANY WILL BE BOUND BY ALL
<br />OF THE TERMS AND CONDITIONS OF SAID FRANCHISE AND WILL EXECUTE A BOND IN
<br />FAVOR OF THE CITY OF CHARLOTTESVILLE, VIRGINIA, AS REQUIRED IN SECTION
<br />(5) FIVE OF SAID FRANCHISE.
<br />(3) IN FURTHER CONSIDERATION OF THE RIGHTS AND PRIVILEGES GRANTED
<br />IN SAID FRANCHISE, VIRGINIA TELEPHONE & TELEGRAPH COMPANY AGREES TO PRO-
<br />VIDE AND MAINTAIN, FREE OF CHARGE, TO THE CITY DURING THE TERM OF THE
<br />FRANCHISE, TWENTY-FIVE (25) FREE INDIVIDUAL LINE TELEPHONES, OR THE
<br />EQUIVALENT THEREOF, SAID TELEPHONES TO HAVE UNLIMITED EXCHANGE SERVICE
<br />AND BE LOCATED WITHIN THE CITY CORPORATE LIMITS. VIRGINIA TELEPHONE &
<br />TELEGRAPH COMPANY WILL PROVIDE AND MAINTAIN ONE (1) SUCH TELEPHONE IN
<br />ADDITION TO THE TWENTY-FIVE (25) FOR EACH FIVE HUNDRED (500) TELEPHONES
<br />IT SERVES FROM THE CHARLOTTESVILLE EXCHANGE OVER AND ABOVE THE NUMBER OF
<br />TELEPHONES SAID EXCHANGE WAS SERVING AS OF MARCH 1, 1945. THE EXCHANGE
<br />WAS SERVING 69803 TELEPHONES AS OF 1"v1ARCH 19 1945.
<br />(4) AS AN ADDITIONAL CONSIDERATION OF THE RIGHTS AND PRIVILEGES
<br />GRANTED IN SAID FRANCHISE, VIRGINIA TELEPHONE & TELEGRAPH COMPANY AGREES
<br />TO PAY TO THE CITY OF CHARLOTTESVILLE, VIRGINIA, ANNUALLY, ON MAY 1ST OF
<br />EACH YEAR, DURING THE TERRA OF THIS FRANCHISE, AN AMOUNT EQUAL TO 1.5% OF
<br />THE GROSS REVENUE THAT THE COMPANY DERIVED FROM ITS INTRASTATE BUSINESS
<br />AT THE CHARLOTTESVILLE EXCHANGE DURING THE PRECEDING CALENDAR YEAR. IT
<br />IS UNDERSTOOD THAT SUCH PAYMENT IS FOR AND IN LIEU OF ANY AND ALL OTHER
<br />FEES, CHARGES, LICENSES, TAXES OR ASSESSMENT OF WHATEVER NATURE TO BE MADE
<br />BY THE CITY OF CHARLOTTESVILLE, VIRGINIA, FOR THE PRIVILEGES RECITED IN
<br />AND GRANTED BY SAID FRANCHISE, OR FOR THE PRIVILEGE OF DOING BUSINESS
<br />WITHIN THE CITY OF CHARLOTTESVILLE, VIRGINIA, EXCEPT, HOWEVER, THAT THE
<br />CITY OF CHARLOTTESVILLE, VIRGINIA MAY LEVY AN ANNUAL LICENSE TAX BASED
<br />ON THE GROSS REVENUE DERIVED BY THE COMPANY FROM ITS INTRASTATE BUSINESS
<br />AT THE CHARLOTTESVILLE EXCHANGE, SUBJECT TO LIMITATIONS AS PROVIDED BY
<br />GENERAL LAW. IT IS UNDERSTOOD THAT THE ABOVE SHALL NOT BE CONSTRUED TO
<br />EXEMPT VIRGINIA TELEPHONE & TELEGRAPH COMPANY FROM THE PAYMENT OF THE
<br />STATUTORY PROPERTY TAX BASED ON THE VALUE THEREOF.
<br />(5) IN FURTHER CONSIDERATION OF THE SAID FRANCHISE BEING GRANTED TO
<br />IT VIRGINIA TELEPHONE & TELEGRAPH COMPANY AGREES THAT IT WILL ACQUIRE AND
<br />INSTALL AN ADEQUATE MODERN DIAL TELEPHONE SYSTEM IN THE CITY OF CHARLOTTES-
<br />VILLE, VIRGINIA, OF SUFFICIENT SIZE TO PROVIDE FOR THE TELEPHONE REQUIRE-
<br />MENTS OF THE SAID CITY, WITH LONG DISTANCE CONNECTIONS, AND HAVE SAME IN
<br />OPERATION OR READY FOR OPERATION ON OR BEFORE MARCH 199 1950. THE MODERN
<br />DIAL CENTRAL OFFICE EQUIPMENT FOR SUCH MODERN DIAL TELEPHONE SYSTEM HAS
<br />BEEN PURCHASED. ATTASHED IS CERTIFIED COPY OF CONTRACT ENTERED INTO AS
<br />OF APRIL 249 1946, BETWEEN AUTOMATIC ELECTRIC SALES CORPORATION AND VIRGINIA
<br />TELEPHONE & TELEGRAPH COMPANY, CALLING FOR THE INSTALLATION, AT CHARLOTTES-
<br />VILLE, VIRGINIA, OF NOT LESS THAN 5400 LINES AND 7800 CONNECTOR TERMINALS
