He said Adelphia has declared bankruptcy and most of their
assets are being sold. Mr. Brown said that the report examines the legal, technical and
financial qualifications of the proposed transfer which is the standard imposed by federal
law for considering franchise transfers. He said that because of the complexity of the
issues, Brian Grogan, outside Counsel, was retained. He said it was the conclusion of
Mr. Grogan that it would be unreasonable for the City to withhold its consent to the
proposed transfer. He said that assurances have been given that Comcast will complete
the technical rebuild of the local cable system that was required in the franchise
agreement with Adelphia. Mr. Brown said that a public hearing is scheduled on the
transfer.

The public hearing was opened, but as there were no speakers, the public hearing
was closed.

Mr. Lynch said he presumes that Comcast is essentially taking over the
obligations of Adelphia, especially with regard to public access. He said he does not see
language to this effect and asked if that is implicit.

Mr. Brown said yes, there is no question that Comcast will have the same
obligations as Adelphia.
