or other use, at which time the facility may be closed to the public. The City may not <br />assign use of the facility to a third party. Third parties must apply directly to PVCC for <br />is permission for use of the facility, subject to approval by the City. There shall be no <br />charge to the City for use of the facility. <br />6. Security: The City will be responsible for the security of the facility except at such <br />times when the facility is used exclusively by PVCC or a third party user given <br />permission by PVCC and approved by the City. The City at its sole expense will repair <br />any damage to the facility, except that caused by PVCC or such third party user. <br />7. Liability: The City shall be responsible to the extent required by law for any damages <br />or claims resulting from public use of the facility. <br />8. Administration and Operation: The Director of Parks and Leisure Services for the <br />City, or designee of such Director, will be responsible for the administration of the <br />Agreement on behalf of the City. The Superintendent of Buildings and Grounds at PVCC <br />will be responsible for the administration of the agreement on behalf of PVCC. Should <br />any problems arise, the City will be responsible for taking immediate corrective action. <br />9. Termination: Either party may terminate this Agreement upon a sixty (60) day prior <br />written notice to the other party. Notice shall be hand -delivered or sent by certified mail, <br />return receipt requested, to the following designated representatives: <br />For the City: <br />• Director, Department of Parks and Leisure Services <br />City of Charlottesville <br />P.O. Box 911 <br />Charlottesville, VA 22902 <br />• <br />For PVCC: <br />Vice President for Finance and Administrative Services <br />Piedmont Virginia Community College <br />501 College Drive <br />Charlottesville, VA 22902 <br />Notwithstanding anything to the contrary herein, PVCC may terminate this Agreement at <br />any time if in its sole discretion, it deems it necessary to preserve safety and order, or if <br />the activities of the City hereunder impair substantially the educational or other <br />operations of PVCC. Furthermore, this Agreement shall automatically terminate if PVCC <br />should cease to operate, or if the State Board for Community Colleges determines at its <br />sole discretion that the facility should be discontinued or closed. Should the Agreement <br />be terminated for any reason, the City, at the discretion of PVCC, shall be responsible for <br />removing all improvements and for restoring the property to its former state. <br />Page 2 <br />
