promptly upon the request of the County and City, execute and deliver an instrument in <br />recordable form satisfactory to the County and City evidencing such subordination; and if the <br />Tenant fails to execute, acknowledge or deliver any such instrument within ten (10) days after <br />request therefore, the Tenant hereby irrevocably constitutes and appoints the County and City as <br />the Tenant's attorney-in-fact, coupled with an interest, to execute, acknowledge and deliver any <br />such instruments on behalf of the Tenant. The Tenant further agrees that in the event any such <br />mortgagee or lender requests reasonable modifications to this Lease as a condition of such <br />financing, the Tenant shall not withhold or delay its consent thereto. <br />ARTICLE XXI. NONRECOURSE. <br />Notwithstanding any breach by the County and City of any of the terms of this Lease, or <br />any claim by the Tenant arising hereunder, in no event shall the County and City or any of their <br />officers, officials, employees or trustees of the County and City have any personal liability <br />hereunder and the Tenant's only remedy in the event of such breach, default or claim shall be to <br />proceed against the County and City's interest in the Leased Premises. <br />IN WITNESS WHEREOF, the County and City and the Tenant have signed and sealed <br />this Lease as of the date first above written. <br />The County and City: <br />0 ALBEMARLE COUNTY <br />By: <br />CITY OF CHARLOTTESVILLE <br />By: <br />Gary B.
