1 <br />n <br />u <br />L <br />THIS AGREEMENT made this day of , 1983, by and between <br />the County of Albemarle, Virginia ("the County"), and the City of Charlottes- <br />ville, Virginia (the "City") <br />W I T N E S S E T H <br />WHEREAS, Albemarle County desires to enter into an agreement with the <br />City of Charlottesville to provide mass transit service for that portion of <br />U. S. Route 29 between the City limits and Albemarle Square Shopping Center; <br />subject to certain terms and conditions; and <br />WHEREAS, the County Executive of Albemarle has been authorized to enter <br />into this Agreement by the Board of Supervisors of Albemarle County, and <br />WHEREAS, the City Council of the City of Charlottesville has authorized <br />the City Manager to enter into this Agreement, <br />NOW THEREFORE, in consideration of the mutual promises and obligations <br />of each as hereinafter set forth, it is mutually agreed as follows: <br />1) The City, through Charlottesville Transit Service, shall provide <br />bus service between the downtown area of the City of Charlottesville <br />and Albemarle Square via the extension of the CTS Route 7. The <br />service will operate on thirty (30) minute headways six (6) days per <br />week Monday through Saturday between the hours of 6:30 a.m. and <br />6:30 p.m. <br />2) Subject to the City's other equipment and manpower commitments, upon <br />seven days prior written notice to Albemarle County, reasonable <br />modifications may be made in the proposed bus schedules which are <br />shown in the attached exhibit which vary the times of service and/or <br />routes. <br />3) In order to provide satisfactory services, the City shall provide, <br />operate and maintain buses suitable for such operation. The City <br />shall also provide the personnel to operate and maintain the buses, <br />and the City shall have full control over and be responsible for <br />the hiring and supervision of such personnel, as well as for the <br />payment of all salaries and wages, and all other employee benefits <br />of such personnel. <br />4) The City shall provide liability insurance coverage in the same <br />amount as it provides for operations within the City limits. The <br />City agrees to indemnify and hold harmless the County against and <br />from any and all claims, damages, costs and expenses because of <br />bodily injury or death of persons or damage to or destruction of <br />property, or for any other cause, resulting from or arising out <br />of the City's negligence in connection with its performance under <br />this agreement, provided such indemnification is limited to the <br />extent of the aforesaid liability insurance coverage. <br />5) The City shall have no responsibility for the creation, maintenance <br />or upkeep of any parking facilities related to this service. <br />
