LEASE AGREEMENT <br />• THIS LEASE AGREEMENT is made and entered into this 26_0�< day of <br />�w•c_ , 2001, by and between SANDOLLAR, LTD., a Virginia corporation (the "Lessor"), <br />and the undersigned lessee (the "Lessee") and provides as follows: <br />WITNESSETH: <br />1. CONSIDERATION: In consideration of the Rent stated below and the mutual <br />covenants contained herein, and other good and valuable consideration, the receipt and <br />sufficiency of which are hereby acknowledged, and subject to the conditions set forth herein, <br />Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor the Premises described <br />herein. <br />as follows: <br />PREMISES: The leased premises (the "Premises") are identified and described <br />The real property owned by Lessor and described <br />more particularly in Exhibit A hereto, and which is <br />located at the office building (the "Building") <br />located at 407 East High Street, City of <br />Charlottesville, Virginia <br />3. TERM: The term of this Lease (the "Term") shall commence on the Ist day of <br />• July, 2001, (the "Effective Date") and shall, unless terminated or renewed as provided herein, <br />continue for a period of one (1) year thereafter. A "Lease Year" shall mean each one-year period <br />of the Term and any renewal term, commencing on the Effective Date and every anniversary <br />thereof. <br />4. RENT: From and after the Effective Date, Lessee agrees to pay Lessor on or <br />before the first day of each month, as rent for the use of the Premises during such month, the rent <br />as set forth on Exhibit B attached hereto and by this reference made a part hereof (the "Rent"). <br />Rent shall be paid in advance on the first day of each month, except that if the beginning and <br />ending months are not whole, then only the pro rata portion of Rent for that month shall be paid <br />for such month. Payments of Rent shall be made to Lessor or Lessor's agent at the address set <br />forth at the end of this agreement unless written notice is provided othetwise, without demand or <br />further notice, which is hereby expressly waived. <br />5. ADDITIONAL RENT: Lessee shall pay, in addition to Rent, all sums <br />(exclusive of Rent) as shall be or may otherwise become due and payable by Lessee under this <br />Lease ("Additional Rent"). Unless otherwise set forth herein, all Additional Rent shall become <br />due and payable within thirty (30) days of notice to Lessee. Specifically, and without limitation, <br />Lessee shall reimburse Lessor for the taxes described in Section 20 and such payment shall be <br />deemed Additional Rent. <br />
