possession is not restored to Lessee within ninety (90) days; or the attachment, execution or other
<br />judicial seizure or substantially all of Lessee's assets located at the Premises or of Lessee's
<br />• interest in this Lease, where such seizure is not discharged within ninety (90) days;
<br />(v) The failure by Lessee to observe or perform any covenant,
<br />condition, or provision in this Lease.
<br />B. In the event of any default by Lessee, Lessor may at any time thereafter,
<br />upon notice and demand and without limiting Lessor's exercise of any other right or remedy
<br />which Lessor may have by reason of such default or breach, have the following remedies:
<br />(i) If (a) Lessee shall default in the payment of Rent, Additional Rent
<br />or shall fail to make when due any other payment required by this Lease, and such default shall
<br />continue for five (5) days after notice thereof from Lessor, or (b) Lessee shall default in the
<br />performance of any of the other provisions of this Lease and any such default of the Lessee shall
<br />continue uncured for thirty (30) days after notice thereof from the Lessor, then the Lessor, by
<br />giving notice to the Lessee at any time thereafter during the continuance of such default, may (i)
<br />terminate the Lease, (ii) re-enter the Premises by summary proceedings or otherwise, expelling
<br />the Lessee and removing all property therefrom, and (iii) pursue any other remedy now or
<br />hereafter available to Lessor pursuant to the terms of this Lease, at law or in equity, including,
<br />without limitation, the rights set forth above.
<br />(ii) In the event Lessor terminates this Lease and Lessee's right to
<br />possession of the Premises, Lessor shall have the right to recover from Lessee (a) the unpaid
<br />• Rent and Additional Rent which had been earned at the time of termination; (b) the amount by
<br />which the unpaid Rent and Additional Rent for the balance of the Term exceeds the amount of
<br />such loss the Lessee proves could reasonably be avoided; and (c) any other amount reasonably
<br />necessary to compensate Lessor for all detriment proximately caused by Lessee's failure to
<br />perform its obligations under this Lease or which in the ordinary course would be likely to result
<br />therefrom, including, without limitation, the cost of recovering possession of the Premises,
<br />expenses of reletting, advertising, brokerage commissions and fees, costs of putting the Premises
<br />in good order, condition and repair, including, without limitation, necessary renovation and
<br />alteration of the Premises, reasonable attorneys' fees, court costs, all costs for maintaining the
<br />Premises, all costs incurred in the appointment of and performance by a receiver to protect the
<br />Premises or Lessor's interest under this Lease, and any other reasonable cost.
<br />(iii) Should this Lease be terminated before the expiration of the Term
<br />by reason of Lessee's default as provided above, or if Lessee abandons or vacates the Premises
<br />for a period of ten (10) consecutive business days before the expiration or termination of the
<br />Term without having paid in full all amounts due and owing for the remainder of such Term,
<br />Lessor shall have the option to take reasonable steps to relet the Premises for such rent and upon
<br />such terms as are reasonable under the circumstances and, if the full Rent and Additional Rent
<br />reserved under this Lease (and any of the costs, expenses or damages indicated below) shall not
<br />be realized by Lessor, Lessee shall be liable for all damages sustained by Lessor, including,
<br />without limitation, deficiency in Rent and Additional Rent during any period of vacancy or
<br />otherwise, reasonable attorneys' fees, advertising and brokerage fees and expenses of placing the
