professional liability claim or demand or other legal action, whether groundless or otherwise, <br />• arising out of an alleged act or omission occurring in the performance of the Manager's <br />duties, to the maximum extent allowed by law. <br />SECTION 17. BONDING <br />The City will bear the full cost of any fidelity or other bonds required of the Manager <br />under any law or ordinance. <br />SECTION 18. OTHER TERMS AND CONDITIONS OF EMPLOYMENT <br />The City Council, after consultation with the Manager and agreement by the Manager, <br />may fix any other terms and conditions of employment as it may determine from time to <br />time, relating to the performance of the Manager, provided such terms and conditions are not <br />inconsistent with the provisions of this agreement, the City Charter or any other state law. <br />SECTION 19. NO REDUCTION OF BENEFITS <br />The City Council shall not at any time during the term of this agreement reduce the <br />salary, compensation or other financial benefits of the Manager, except to the degree it <br />• imposes such a reduction across-the-board for all employees of the City. <br />SECTION 20. NOTICES <br />Notices pursuant to this agreement shall be given by first class mail, postage prepaid, <br />addressed as follows: <br />City Council: Mayor <br />P. O.
