B. If the agreement is terminated by the death of the Manager, the City shall not incur <br />• the aforesaid termination pay obligation. <br />SECTION 6. SALARY <br />A. Effective July 1, 2003 the Council agrees to pay the Manager for his services <br />rendered pursuant to this agreement a base salary at the rate of $140,190.00 per year, payable <br />on the same schedule as other salaried employees of the City are paid. <br />B. City Council shall notify the Manager, on or before October 31, 2002, and on or <br />before each October 3 1 " thereafter of the adjusted annual base salary it will pay the Manager <br />during the ensuing 12 months of the agreement. <br />SECTION 7. PAYMENTS ON NON -RENEWAL AND TERMINATION <br />A. Non -renewal. In the event City Council shall elect not to renew this agreement <br />at the end of the contract term (October 31, 2006), it shall so advise the Manager in writing <br />at least one year before that date, and the Manager shall be entitled to receive his then current <br />compensation and all benefits through October 31, 2006. In addition, beginning November <br />1, 2006, the Council shall also continue Manager's salary and benefits on the same terms as <br />• those existing during the preceding contract year for each of the next six (6) months; <br />provided, however, that such non -renewal payments and benefits shall cease at any time <br />during said six month period that Manager begins receiving compensation as a full time <br />employee from some employer other than the City. <br />B. Early Termination. In the event City Council elects to terminate this agreement <br />at any time during the term of this contract, as may be done under Section 4(A) of the <br />contract, Manager shall be paid all accrued salary and other benefits through October 31, <br />2006 or for three years, whichever is less. In addition, City Council shall also continue <br />Manager's salary and benefits on the same terms as those existing immediately prior to <br />termination for each of the nine (9) months subsequent to the last day of the term or <br />subsequent to the expiration of three years from the date of termination, whichever occurs <br />first; provided, however, that such post termination payments and benefits shall cease at any <br />time during said nine-month period that Manager begins receiving compensation as a full <br />time employee from some employer other than the City. <br />C. Definitions. For purposes of this agreement, "employee" shall include Manager's <br />work as an independent contractor or consultant. For the purposes of this agreement, "full <br />time" shall mean and refer to any work situation in which Manager (a) receives compensation <br />• 3 <br />
