COMMERCIAL LEASE <br />• THIS LEASE AGREEMENT is made as of this 18th day of October, 2004, by and <br />between GARY AND BEVERLEY GARBACCIO, doing business as BLACK SHEEP <br />HOLDINGS, (hereinafter "Lessor") and the CITY OF CHARLOTTESVILLE, VIRGINIA and <br />the COUNTY OF ALBEMARLE, VIRGINIA, both political subdivisions of the <br />Commonwealth of Virginia (hereinafter "Lessees"). <br />WITNESSETH: <br />WHEREAS, the Lessor is the owner of the Premises described herein, and represents that <br />it has clear and unencumbered title to said Premises and is able to lease the same and deliver <br />possession of the Premises to the Lessees upon the Commencement Date as set forth herein; and <br />WHEREAS, the Lessees desire to lease the Premises described herein, for use as office <br />space and related functions for the Charlottesville — Albemarle Juvenile and Domestic Relations <br />District Court; and <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein the <br />parties hereby agree as follows: <br />1. DEMISED PREMISES. The Lessor hereby leases unto the Lessees certain "Premises," <br />• more particularly described as the main floor, consisting of two suites of office space, of <br />the building located at 421 Park Street, and being in all respects a portion of the property <br />conveyed to Gary and Beverley Garbaccio by deed of Farm Credit of the Virginia, A.C.A., <br />dated May 3, 2004 of record in the Clerk's Office of the Circuit Court of the City of <br />Charlottesville in Deed Book 975, page 929, and as also described as Parcel 24 on City of <br />Charlottesville Real Property Tax Map 53. The Premises shall include four (4) assigned <br />on-site parking spaces located immediately to the rear of the building at 421 Park Street. <br />2. LEASE TERM AND RENEWAL. The term of this Lease shall be for a period of one (1) <br />year, beginning October 18, 2004 ("Commencement Date") and terminating on October <br />17, 2005, or sooner as provided herein. Provided that Lessees are not in default in the <br />performance of this Lease, Lessees shall have the option, in their discretion, to renew this <br />Lease for two (2) additional terms of six (6) months each, with the first six month renewal <br />commencing at the expiration of the initial lease term, and the second six month renewal <br />commencing at the end of the first six month renewal. All of the terms and conditions of <br />this Lease, including the amount of monthly rent, shall apply during the renewal terms. <br />The options to renew shall be exercised by written notice given to Lessor not less than <br />sixty (60) days prior to the expiration of the initial lease term or the first six month <br />renewal. If notice is not given in the manner provided herein within the time specified, the <br />option shall expire. <br />3. RENT. The annual rent for the Premises shall be Twenty -Three Thousand and Four <br />Hundred and 00/100 Dollars ($23,400.00), payable as follows: <br />• <br />
