16. COMMISSIONS. Lessor and Lessees agree that no real estate agent or company has <br />provided services in connection with this Lease, and each party hereto agrees to hold the <br />other harmless from any claim made for a commission in connection with this Lease. <br />17. CONDEMNATION. The Premises are being leased by the Lessor to the Lessees with the <br />understanding that the parties will enter into a Sale and Purchase Contract for the Premises <br />no later than October 31, 2004, with closing as soon as practicable after January 1, 2005. <br />The lease and sale of the Premises is an involuntary transaction on behalf of the Lessor, in <br />that the City Council of the City of Charlottesville has passed a Resolution authorizing <br />acquisition of the Premises by eminent domain. The Lessees agree to tender a Contract for <br />the Sale and Purchase of the Premises to Lessor no later than October 31, 2004, for the <br />sales price of Seven Hundred and Seventy Thousand and 00/100 Dollars ($770,000.00), <br />and subject to the standard terms and conditions for the sale of commercial property. If <br />Lessor executes such contract within fifteen (15) days of receipt, Lessees agree not to <br />institute condemnation proceeding for the property. If for any reason Lessor declines to <br />sell the property to Lessees for the aforementioned price, Lessees, and specifically the City <br />of Charlottesville, retain all rights to seek to acquire the Premises by condemnation. <br />18. AMENDMENTS. This Lease may only be amended by written addendum executed by <br />authorized representatives of both the Lessor and the Lessees. <br />• 19. APPLICABLE LAW.
