Subject to appropriation and allocation, provide reimbursement for eligible <br />Project expenditures within thirty (30) days of receiving an acceptable <br />statement, as determined by the DEPARTMENT, from the MUNICIPALITY. <br />d. Audit all Project costs and records as may be required or appropriate. <br />6. Nothing herein shall be construed as creating any personal liability on the part of <br />any officer, employee, or agent of the parties, nor shall it be construed as giving any <br />rights or benefits to anyone other than the parties hereto. <br />7. This Agreement shall be binding upon the parties hereto, and their respective <br />successors and assigns. <br />• 8. This Agreement may be modified with the mutual consent of the DEPARTMENT <br />and the MUNICIPALITY. <br />- 9.- This Agreement maybe terminated as follows: <br />a. By mutual agreement of the parties, in writing and signed by the parties. <br />b. By the DEPARTMENT without advance written notice, due to the failure of the <br />MUNICIPALITY to perform work on the Project or fulfill its obligation(s) <br />under this Agreement, in which event the DEPARTMENT may take over the <br />work and prosecute same to completion by further agreement or otherwise, and <br />the MUNICIPALITY shall be liable to the DEPARTMENT for any excess cost <br />occasioned to the DEPARTMENT thereby. <br />c.
