Grantee shall initially provide <br />programming, consisting of the Services identified in Exhibit C. <br />6.02 FM Stereo Service. Grantee shall offer FM stereo <br />service as identified in Exhibit C. <br />6.03 Programming Decisions. All programming decisions <br />shall be at the sole discretion of Grantee; provided, however, <br />that any change in the mix, quality, or level of service shall <br />require the prior approval of the City. Any such approval by <br />the City shall not be unreasonably withheld. Such prior <br />approval shall not be required when any change of service <br />occurs under the following conditions: such service is no <br />longer available to the operator or such service is available <br />only upon the payment of a royalty required under section <br />801(b)(2) of Title 17, United States Code and is substantially <br />in excess of the amount of such payment required on the date of <br />the operator's offer to provide such service. <br />6.04 Emergency Alert System. Grantee shall install and <br />thereafter maintain for use by the City an Emergency Alert <br />System (EAS). This EAS shall be remotely activated by <br />telephone and shall allow a representative of the City to <br />override the audio on all Channels of the System in the event <br />of a civil emergency or for reasonable tests. <br />A. Commencing six (6) months following acceptance <br />of this Franchise (or such earlier date as the City may <br />certify the acceptance of the completion of the System <br />Upgrade), the Grantee shall make available for use by the <br />City, without charge, a minimum of one (1) activated <br />Channel for non-commercial Governmental programming and <br />shall make available, without charge, a minimum of one (1) <br />activated Channel for non-commercial public access <br />programming and shall make available a minimum of one (1) <br />activated Channel for non-commercial educational <br />programming for educational institutions within the City <br />and the University of Virginia. <br />H. Grantee shall also provide Channel capacity on <br />the System available for lease in accordance with 47 <br />U.S.C. S 532. <br />C. The Grantee may use the public and educational <br />access Channels required in this section 6.05A for any <br />non-commercial programming during those hours when the <br />anne s are not in use by the general public or local <br />• educational authorities. Grantee shall provide a <br />Character -generator bulletin board service with <br />community -related announcements and messages on the <br />government access channel during those hours when the <br />government access channel is not in use in the City. <br />-13- <br />C) <br />
