If CIDA proposes to make any changes to the exterior features or appearance of the <br />building located on the property, and such changes will be visible from a public street or <br />right-of-way, it will first submitthe proposed changes to the City's Urban Design Committee <br />for review and approval. If CIDA declines to follow or accept any recommendations or <br />decisions of the Urban Design Committee, it will seek approval for the changes from the <br />Charlottesville City Council. No changes to the exterior features or appearance of the <br />building, as described herein, shall be made without the prior approval of the Urban Design <br />Committee or City Council. <br />7. Real Prop Taxes: The parties to this Lease acknowledge that CIDA, as a <br />• political subdivision of the Commonwealth of Virginia, is exempt from the payment of local <br />real property taxes. In each sublease CIDA shall require each Tenant that does not possess <br />tax-exempt status to pay the applicable real property tax on its leasehold interest in the <br />property. <br />8. Insurance: The City shall maintain casualty and property liability insurance on the <br />property during the term of the lease. CIDA shall require all Tenants occupying the property <br />to have insurance in an amount sufficient to protect any personal property placed in the <br />leased premises. <br />9. Indemnification: CIDA shall require each tenant who occupies the property to <br />indemnify and save harmless and provide a defense for CIDA and the City, and their agents, <br />officials and employees, from any and all liability, damages, causes of action, suits or <br />0 4 <br />
