judgments and attorney fees which may accrue against, be charged to, or recovered from <br />CIDA and the City, their agents, officials or employees by reason of or account of damage <br />to the property or injury to or death of any other person arising from the tenant's use and <br />occupancy of the property. <br />10. Records and Audit: CIDA shall maintain complete and accurate financial records <br />which reflect all expenditures attributable to the marketing, use and operation of the property <br />and all revenues generated by the property. Upon reasonable advance notice such records <br />shall be available for inspection, review and copying by representatives of the City, including <br />but not limited to auditors employed by the City. <br />• 11. Revenues: All revenues generated by the property shall be maintained in an <br />interest bearing account in a financial institution approved for the investment of public funds, <br />and held by the City. At such time as the revenues from the property exceed the amount <br />reasonably necessary for maintaining, repairing and operating the property, including any <br />amount required for a reserve fund established to pay for extraordinary repairs and expenses, <br />CIDA shall notify the City in writing of the amount of the surplus funds. At the option of <br />the City the surplus funds will either be (i) returned to the City or (ii) expended by CIDA for <br />economic development initiatives mutually agreed upon by the City and CIDA. <br />12. Assignment of Lease: Except for the commercial subleases contemplated by this <br />Lease, CIDA shall not assign its leasehold interest in the property without the prior written <br />approval of the Charlottesville City Council. <br />• <br />
