arrange its request for such special testing so as to minimize hardship or <br />• inconvenience to Grantee or to the Subscribers caused by such testing. <br />B. Before ordering such tests, Grantee shall be afforded thirty (30) <br />days advance written notice. City shall meet with Grantee prior to <br />requiring special tests to discuss the need for such and, if possible, <br />visually inspect those locations which may be the focus of concern. If, <br />after such meetings and inspections, City wishes to commence special <br />tests and the thirty (30) days have elapsed, the tests shall be conducted at <br />City's expense by a qualified engineer selected by City. Grantee shall <br />participate and cooperate in such testing and shall not assess City or <br />Subscribers any fees or costs associated with time or labor Grantee may <br />incur as a result of its participation in such testing. <br />5.08 Signal Quality. The System shall produce a picture and signal quality <br />that is consistent with FCC rules contained in Part 76 of the Code of Federal <br />Regulations as may, from time to time, be amended, and attached hereto as <br />Exhibit B. <br />5.09 Semi -Annual Testing. <br />A. Grantee shall conduct semi-annual technical performance tests in <br />compliance with FCC requirements, or if the FCC no longer requires such <br />• tests, in compliance with the last required FCC rules and regulations, and <br />provide copies of the test results to the City. These semi-annual tests <br />shall be conducted at six (6) System extremity test points within the City <br />and shall cover all parameters required by the FCC. <br />B. The tests may be witnessed by representatives of the City. If one <br />or more of the locations tested fail to meet the performance standards, <br />Grantee shall complete corrective measures and report to the City the <br />corrective measures so taken. The entire test shall be repeated for the <br />locations. Grantee shall bear the expense of all such testing. <br />5.10 Standby Power. The headend and all hubs serving the City shall employ <br />a back-up generator and Uninterruptible Power Supply (UPS) with <br />sufficient capacity to provide continuous power to all System components <br />in the event of a commercial power outage or other primary power system <br />failure. The distribution system shall employ standby power at all power <br />supply locations capable of providing continuous power to the distribution <br />system in the event of a commercial power outage or other primary power <br />failure. <br />SECTION 6. SERVICE PROVISIONS <br />6.01 Programming. Grantee shall initially provide programming, consisting of <br />is <br />the Services identified in Exhibit C.
