A. The City shall give written notice to Grantee of the City's intention <br />• to undertake an inspection of the System and the name of that Person <br />who will participate for the City. <br />B. Grantee shall, within two (2) days of receipt of the City notice, <br />select one Person who will participate for Grantee and so notify the City <br />C. The representatives of the City and Grantee shall, within three (3) <br />days of the selection of the Grantee representative, select a third <br />representative. <br />D. The representatives shall commence the inspection of the System <br />at the headend by viewing all programmed Channels or a representative <br />portion thereof and, by a decision of the majority, determine whether the <br />quality of the signals meets all applicable technical standards outlined <br />within this Franchise and Applicable Laws. <br />E. The representatives shall then view the System performance at <br />appropriate Subscriber Drops. The representatives shall view all or a <br />representative portion of the program Channels at each location and, by a <br />decision of the majority, determine whether the quality of the signals <br />meets all applicable technical standards outlined within this Franchise and <br />Applicable Laws. <br />• F. The representatives shall prepare and submit to the City and <br />Grantee a written report of its findings any appropriate recommendation. <br />G. Grantee shall report to the City, at a regular or specially scheduled <br />meet of the City, its findings as to the status of the System, and whether it <br />agrees with the findings of the representatives. Should Grantee agree <br />that corrective action is required, it will report as to the status of corrective <br />measures planned and undertaken currently. Should the representatives <br />find that Grantee has operated the System properly and no legitimate <br />basis for the Complaints exists within the control of Grantee, then the City <br />shall pass a Resolution stating that it has investigated the matter and that <br />the Grantee is absolved from any wrongdoing in that matter. Nothing <br />herein shall prevent Grantee from providing City with such additional <br />evidence or information as Grantee deems relevant. <br />8.07 Periodic Evaluation and Renegotiation Sessions. The field of cable <br />communications is a rapidly changing one which may see many regulatory, <br />technical, financial, marketing and legal changes during the term of this <br />Franchise. Therefore, in order to provide for a maximum degree of <br />communication between the parties, and to help achieve a continued advanced <br />and modern System, the following evaluation provisions will apply: <br />• A. The City and Grantee shall hold annual evaluation sessions during <br />the term of this Franchise. <br />23 <br />
